1. Acceptance of Terms
By accessing and using SupplyWolf (the "Platform"), you accept and agree to be bound by the terms and provisions of this agreement. If you do not agree to these Terms of Service, please do not use the Platform.
2. Description of Service
SupplyWolf provides a B2B marketplace platform that connects buyers and vendors of supply chain technology solutions. The Platform includes search capabilities, vendor profiles, comparison tools, RFP builders, and related features designed to facilitate connections between buyers and vendors in the supply chain technology space.
3. User Accounts
You may be required to create an account to access certain features of the Platform. You are responsible for maintaining the confidentiality of your account credentials and for all activities that occur under your account. You agree to immediately notify us of any unauthorized use of your account.
4. User Conduct
You agree not to use the Platform to: (a) upload or transmit any content that is unlawful, harmful, threatening, abusive, harassing, defamatory, vulgar, obscene, or otherwise objectionable; (b) impersonate any person or entity or falsely state or misrepresent your affiliation with a person or entity; (c) upload or transmit any content that infringes any patent, trademark, trade secret, copyright, or other proprietary rights; (d) upload or transmit any unsolicited or unauthorized advertising or promotional materials; (e) interfere with or disrupt the Platform or servers or networks connected to the Platform.
5. Vendor Listings
Vendors are responsible for the accuracy and completeness of their company profiles, product descriptions, and all other information provided on the Platform. SupplyWolf reserves the right to remove or modify any listing that violates these Terms or is otherwise inappropriate.
6. Buyer Conduct
Buyers agree to use the Platform in good faith to evaluate and potentially engage with vendors. Buyers should not use the Platform to collect competitive intelligence without genuine purchase intent, or to engage in any activity that could harm vendors on the Platform.
7. Fees and Payments
Certain features of the Platform may require payment of fees. All fees are non-refundable unless otherwise stated. SupplyWolf reserves the right to change fees at any time with reasonable notice.
8. Intellectual Property Rights
The Platform and its original content, features, and functionality are owned by SupplyWolf and are protected by international copyright, trademark, patent, trade secret, and other intellectual property laws. You may not reproduce, distribute, modify, create derivative works of, publicly display, or exploit any content from the Platform without our prior written consent.
9. Third-Party Links
The Platform may contain links to third-party websites or services that are not owned or controlled by SupplyWolf. We have no control over, and assume no responsibility for, the content, privacy policies, or practices of any third-party websites or services.
10. Disclaimer of Warranties
The Platform is provided on an "AS IS" and "AS AVAILABLE" basis without any warranties of any kind, either express or implied. SupplyWolf does not warrant that the Platform will be uninterrupted, timely, secure, or error-free.
11. Limitation of Liability
In no event shall SupplyWolf, its directors, employees, partners, agents, suppliers, or affiliates be liable for any indirect, incidental, special, consequential, or punitive damages, including loss of profits, data, use, goodwill, or other intangible losses, resulting from your access to or use of or inability to access or use the Platform.
12. Indemnification
You agree to defend, indemnify, and hold harmless SupplyWolf and its licensees and licensors, and their employees, contractors, agents, officers, and directors, from and against any claims, damages, obligations, losses, liabilities, costs, or debt, and expenses arising from your use of the Platform or violation of these Terms.
13. Termination
We may terminate or suspend your account and access to the Platform immediately, without prior notice or liability, for any reason, including breach of these Terms. Upon termination, your right to use the Platform will immediately cease.
14. Governing Law
These Terms shall be governed by and construed in accordance with the laws of the State of Delaware, United States, without regard to its conflict of law provisions.
15. Changes to Terms
We reserve the right to modify or replace these Terms at any time at our sole discretion. We will provide notice of any material changes by posting the new Terms on this page and updating the "Last Updated" date.
